Welcome to Sibolla Building. These Terms & Conditions (“Terms”) govern your access to and use of https://sibolla.com/ and its related pages, content, forms, downloads, and communication features (collectively, the “Website”).

The Website is operated by Sibolla, trading as Sibolla Building (“Sibolla,” “we,” “us,” or “our”). Sibolla Building is a building-material and whole-house project supply brand serving customers in international markets. The legal entity responsible for a specific transaction will be identified in the applicable quotation, pro forma invoice, order confirmation, or signed contract.

By accessing or using the Website, submitting an inquiry, uploading project information, or requesting a quotation, you agree to these Terms. If you do not agree, please do not use the Website.

1. Purpose of the Website

The Website provides general information about Sibolla, our capabilities, products, project services, manufacturing resources, and supply solutions. It also allows prospective customers to contact us and submit information for project evaluation.

The Website is primarily intended for business customers, developers, contractors, designers, architects, distributors, procurement teams, and other professional buyers. It is not an automatic online retail checkout platform.

Website content is provided for general reference only. Product availability, suitability, specifications, materials, finishes, prices, lead times, delivery terms, warranties, and services must be confirmed in writing for each project.

2. Eligibility and Authority

You may use the Website only if you are legally able to enter into binding agreements under the laws applicable to you.

If you use the Website or communicate with us on behalf of a company, organization, project owner, or other party, you represent that you have authority to act for that party and to provide the information and documents you submit.

3. Project Inquiries and Requests for Quotation

Submitting a contact form, floor plan, drawing, bill of quantities (“BOQ”), specification, budget, message, or other project information is a request for discussion or quotation only. It does not create a binding sales contract, reservation of production capacity, or obligation for Sibolla to supply any product or service.

Any initial estimate, budget range, concept, recommendation, or preliminary quotation may be revised after we review final measurements, drawings, quantities, finishes, performance requirements, destination, delivery conditions, installation requirements, or other relevant information.

We may decline an inquiry or quotation request at our discretion, including where project information is incomplete, the requested product is unavailable, the destination is restricted, or the project falls outside our technical or commercial capabilities.

4. Quotations, Drawings, BOQs, and Specifications

A quotation is valid only for the period stated in that quotation. Unless expressly stated otherwise, quotations may be subject to changes in exchange rates, raw-material costs, freight charges, duties, taxes, regulatory requirements, and customer-requested changes.

Customers are responsible for reviewing all quotations, drawings, renderings, samples, finish schedules, BOQs, hardware lists, dimensions, quantities, performance requirements, packing instructions, shipping information, and other project documents before approval.

Customer approval confirms that the approved documents accurately reflect the customer’s requirements. Sibolla is not responsible for errors contained in information supplied or approved by the customer, its consultants, contractors, agents, or other representatives.

Renderings and digital images are illustrative. Screen settings, lighting, photography, production batches, material characteristics, and manufacturing processes may cause the delivered product to differ reasonably from an image or rendering.

5. Samples, Colors, and Natural Materials

Samples represent the general appearance and quality of a material but may not be identical to full production.

Natural stone, timber, veneer, leather, ceramic products, fabrics, and other natural or batch-produced materials may vary in color, grain, veining, texture, shade, pattern, dimensions, or surface appearance. These inherent variations are not defects where they fall within the approved specification, applicable standard, or reasonable industry tolerance.

For projects requiring close visual matching, customers should request production samples, control samples, mock-ups, or batch approval before mass production. Additional costs and lead time may apply.

6. Orders and Contract Formation

An order becomes binding only when:

  1. the relevant quotation, pro forma invoice, order confirmation, or contract has been accepted in writing;
  2. required drawings, specifications, materials, finishes, quantities, and commercial terms have been approved; and
  3. Sibolla has received the required deposit or other agreed payment.

The contracting entity, product scope, price, currency, payment schedule, production period, delivery term, warranty, and other transaction-specific conditions will be stated in the applicable commercial documents.

If documents conflict, the following order of priority applies unless the parties agree otherwise in writing:

  1. a signed project or sales contract;
  2. the final order confirmation or pro forma invoice;
  3. the final approved quotation, BOQ, drawings, and specifications;
  4. these Terms; and
  5. general information on the Website.

Purchase-order terms issued by a customer do not apply unless Sibolla expressly accepts them in writing.

7. Prices, Taxes, and Payment

Prices are stated in the currency and on the trade basis shown in the applicable quotation or contract. Unless expressly included, prices do not include destination-country duties, taxes, customs charges, inspection fees, permits, storage, demurrage, local delivery, unloading, installation, or other third-party costs.

Payments must be made according to the agreed schedule and payment method. Bank charges and intermediary-bank fees are the customer’s responsibility unless otherwise agreed.

Production, dispatch, document release, or other performance may be suspended if payment is overdue. Any resulting delay will extend the applicable schedule, and reasonable storage, financing, remanufacturing, or related costs may be charged where permitted by the contract and applicable law.

Customers must verify our bank details using an established Sibolla contact before making payment. Sibolla will not be responsible for payments sent to an unauthorized account because of phishing, impersonation, altered emails, or other fraud outside our reasonable control.

8. Measurements, Site Conditions, and Customer Responsibilities

Unless Sibolla has expressly agreed in writing to conduct and accept responsibility for an on-site survey, all site dimensions, openings, levels, structural conditions, utility positions, installation clearances, and local requirements must be verified by the customer or its qualified contractor before final approval and production.

The customer is responsible for:

  • providing complete and accurate project information;
  • confirming dimensions, quantities, specifications, and intended use;
  • identifying applicable building codes, fire ratings, wind loads, energy requirements, accessibility rules, and other local standards;
  • obtaining permits, approvals, certifications, and professional advice required at the project location;
  • ensuring the site is ready for delivery, storage, handling, and installation; and
  • using qualified personnel to install and maintain the products.

Sibolla may provide product information or installation guidance, but this does not replace the services of a locally licensed architect, engineer, contractor, or other qualified professional.

9. Changes, Cancellations, and Custom Products

Requested changes are effective only after Sibolla confirms them in writing. Changes may affect price, production sequence, material availability, packing, shipping, and delivery time.

Most project products are made, cut, finished, configured, or procured to customer-approved requirements. Once design, procurement, or production has started, an order may not be cancelled or changed without Sibolla’s written agreement.

If Sibolla accepts a cancellation or change, the customer may be responsible for completed work, committed materials, supplier charges, design costs, tooling, remanufacturing, storage, bank charges, and other reasonable losses arising from the change or cancellation.

Any cancellation, return, refund, or credit will be handled according to the applicable quotation, order confirmation, contract, warranty policy, and mandatory law.

10. Production and Lead Times

Production and delivery dates are estimates unless expressly guaranteed in a signed contract. A production period normally begins only after all required approvals, technical information, samples, and payments have been received.

The schedule may be adjusted because of customer changes, delayed approvals, incomplete information, material substitution approvals, payment delay, inspection requirements, shipping availability, public holidays, or events outside our reasonable control.

We may manufacture or source different product categories through coordinated production facilities and suppliers. Reasonable partial production, split shipment, or equivalent sourcing may be used where permitted by the applicable order documents.

11. Quality Control and Reasonable Tolerances

Sibolla applies quality-control procedures appropriate to the relevant product and project. Unless a specific standard or inspection method is agreed in writing, products will be assessed against the final approved specifications and reasonable industry tolerances.

Minor variations that do not materially affect the agreed function, safety, or overall appearance of a product are not considered defects. Product-specific standards, approved samples, signed drawings, and written specifications take priority over general expectations or website images.

Where third-party inspection, testing, or certification is required, the scope, standard, laboratory or inspector, timing, and cost must be agreed before the order is confirmed.

12. Shipping, Delivery, Risk, and Import Requirements

Shipping and delivery obligations are governed by the Incoterm® rule, named place, and version stated in the applicable quotation or contract. If no Incoterm® rule is stated, the parties must agree on delivery responsibilities in writing before dispatch.

Estimated transit times are not guaranteed. Carriers, ports, customs authorities, weather, congestion, inspections, route changes, and other third parties may affect transit and delivery.

Unless otherwise agreed, the customer is responsible for:

  • confirming the consignee, delivery address, contact details, and import documents;
  • obtaining import licenses, permits, and destination approvals;
  • paying destination duties, taxes, customs charges, storage, demurrage, detention, and local handling fees;
  • arranging suitable unloading equipment, labor, access, and secure storage; and
  • inspecting packages promptly on arrival.

The transfer of risk and title will be determined by the applicable contract, payment status, and agreed delivery term.

Visible package damage, shortages, or handling issues should be recorded on the carrier’s delivery document and supported with clear photographs or video before unloading or unpacking, where practical.

13. Inspection, Claims, and After-Sales Support

Customers must inspect delivered products as soon as reasonably possible and notify Sibolla promptly of any alleged shortage, shipping damage, non-conformity, or defect.

A claim should include the order or invoice number, product identification, quantity affected, photographs or video, package labels, a description of the issue, and any other information reasonably required to investigate.

Customers must preserve affected products and packaging and must not install, alter, discard, or repair an allegedly defective item without our written guidance, except where immediate action is reasonably necessary to prevent injury or further property damage.

If a valid claim is confirmed, the available remedy may include technical guidance, repair, replacement parts, replacement product, re-supply, credit, or refund, as appropriate to the circumstances and subject to the applicable contract, warranty, delivery term, and mandatory law.

Unauthorized installation, improper storage, misuse, site movement, normal wear, inadequate maintenance, incorrect measurements supplied by the customer, or work performed by third parties may limit or exclude a claim to the extent that it caused or contributed to the issue.

14. Installation

Installation is not included unless expressly stated in the applicable quotation or contract.

Installation instructions, videos, drawings, or remote guidance supplied by Sibolla are general support materials. The customer remains responsible for site safety, local code compliance, sequencing with other trades, and the work of installers and contractors not directly engaged and controlled by Sibolla.

Products should not be installed if they show obvious shipping damage, material non-conformity, or incorrect dimensions. Contact Sibolla before installation so the issue can be assessed.

15. Intellectual Property

The Website and its contents—including text, photographs, graphics, videos, catalogs, renderings, layouts, trademarks, logos, product descriptions, and website code—are owned by or licensed to Sibolla and are protected by applicable intellectual-property laws.

You may view, download, or print Website materials for legitimate internal project evaluation or purchasing purposes. You may not reproduce, republish, sell, distribute, modify, scrape, frame, create derivative works from, or commercially exploit Website content without our prior written permission.

No right or license to use the Sibolla name, logo, trademarks, or other brand assets is granted by your use of the Website.

Project drawings, designs, shop drawings, renderings, samples, technical solutions, and other work created by Sibolla may be subject to separate ownership and permitted-use terms in the applicable quotation or contract.

16. Information and Files You Submit

You retain ownership of the plans, drawings, images, specifications, messages, and other materials you submit to us.

You grant Sibolla and its relevant employees, affiliates, manufacturers, suppliers, logistics providers, technical consultants, and service providers a limited right to access, copy, translate, adapt, and use those materials as reasonably necessary to evaluate, quote, design, manufacture, deliver, install, or support your project.

You represent that you have the right to provide the submitted materials and that our authorized use of them will not infringe another party’s rights.

Do not upload malicious code, unlawful content, or information that is unnecessary for your inquiry. Please avoid sending highly sensitive personal, financial, or confidential information through a general website form.

We will not publicly use customer project names, confidential drawings, or identifiable project images for marketing without permission, except where the material has already been lawfully made public or has been anonymized.

17. Privacy and Communications

Our handling of personal information is described in our Privacy Policy. Please review that policy before submitting personal information through the Website.

When you submit an inquiry, you authorize us to contact you about that inquiry by email, telephone, WhatsApp, or another communication method you provide. Marketing communications may be declined or unsubscribed from at any time.

Internet and electronic communications are not always secure. You are responsible for checking messages, attachments, payment instructions, and account details before acting on them.

18. Acceptable Use

You must not:

  • use the Website for unlawful, fraudulent, misleading, or harmful purposes;
  • attempt to gain unauthorized access to the Website, server, accounts, forms, or data;
  • introduce malware, automated attacks, or disruptive code;
  • scrape, harvest, or systematically extract Website content or contact information without permission;

The Website may link to third-party websites, social-media platforms, maps, messaging tools, logistics providers, or other external services. These services are operated independently, and we are not responsible for their content, availability, security, privacy practices, or terms.

A link does not imply endorsement. Your use of a third-party service is at your own discretion and subject to that service’s terms.

20. Disclaimers and Limitation of Liability

We use reasonable efforts to keep Website information accurate and current, but the Website is provided on an “as available” basis. To the fullest extent permitted by law, we do not guarantee that the Website will always be uninterrupted, error-free, secure, or free of harmful components.

Website content does not constitute architectural, structural, engineering, legal, customs, tax, or other professional advice. Customers should obtain appropriate professional advice for their project and jurisdiction.

To the fullest extent permitted by law, Sibolla will not be liable for indirect, incidental, special, punitive, or consequential loss arising from use of the Website, including loss of profit, revenue, opportunity, anticipated savings, goodwill, or data.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability relating to a product order or project will be governed by the applicable signed contract, order documents, warranty terms, and mandatory law.

21. Force Majeure

Sibolla will not be responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government action, sanctions, labor disruption, power or network failure, supplier interruption, raw-material shortage, port congestion, carrier delay, customs action, or transport disruption.

We will use reasonable efforts to notify the customer and reduce the effect of the event. Schedules will be extended for the period reasonably affected, and the parties will discuss appropriate alternatives where performance becomes materially impracticable.

22. Governing Law and Dispute Resolution

These Website Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.

The parties should first attempt in good faith to resolve any dispute through written negotiation. If a dispute cannot be resolved, it will be submitted to the competent courts in Foshan, Guangdong, China, unless a signed contract for a specific transaction provides a different governing law or dispute-resolution method.

23. Changes to These Terms

We may update these Terms to reflect changes to the Website, our services, business practices, or legal requirements. The revised version will be posted on this page with a new “Last updated” date.

Changes apply from the date of publication and do not retroactively amend a signed contract unless the parties agree in writing.

24. Severability and No Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

Our failure to enforce a provision immediately does not waive our right to enforce it later.
